Description

Provides dedicated legal support for a business unit, country or region. Drafts, negotiates, manage contracts, as well as coordinates with other departments across the organization in support of legal initiatives. Interacts closely with colleagues throughout the Company’s business, legal, and compliance functions in order to advise, negotiate and execute contracts in the best interest of Syneos Health.


JOB RESPONSIBILITIES

  • Leads end to end contracting related to clinical, commercial, corporate (Direct and Indirect) contracts for products and services including but not limited to Vendor Master Agreements, Independent Contractor Agreements, consulting agreements, professional services agreements, SW licensing, SaaS, HR & staffing agreements and other contracts and strategic alliances, data privacy related agreements as well as various issues escalated from the business units and internal departments.
  • Reviews contractual documents based on departmental guidance and established playbooks, and coordinates escalation to business stakeholders and subject matter experts within the organization.
  • Partners with the business stakeholders to structure, negotiate and advise on contractual matters.
  • Interfaces with other departments including Risk Management, Operations, Procurement, Data Privacy, and Sourcing as required to support contracting matters.
  • Advises, structures, drafts and negotiates all aspects of direct and indirect contracts and leads frequent negotiations with Vendor’s legal team.
  • Works collaboratively across the Legal department, including the Company’s global team of regional-based attorneys, to coordinate and drive completion of global contracts.
  • Contract review and negotiation (dispatch agreements/service agreements/consulting agreements with pharmaceutical companies and medical device companies, vendor agreements, NDA etc.).
  • Responds to legal related requests and inquiries from internal clients and drafts legal documents and communications on a timely and efficient manner.
  • Verifies and drafts responses to the Ministry of Health, Healthcare Authorities, and other relevant governmental agencies.
  • Liaise with other global legal members and other departments to adjust the legal assistance.
  • Trains internal employees and managements on various legal matters and increase awareness on legal, new hire orientations and consultations.
  • Conducts legal research and analysis related to the company’s business.


QUALIFICATION REQUIREMENTS

  • Law Degree from an accredited University.
  • In-house transactional experience with/supporting procurement/vendor organization or an equivalent function.
  • In-house experience with a global/multinational company, with the ability to interact, engage, collaborate and coordinate end to end contracting activities with US based colleagues.
  • Solid understanding of common outsourcing contracts and issues and fundamental contracting principles. Basic understanding of Intellectual property principles and data privacy matters.
  • Demonstrated experience in contract drafting and negotiation, risk identification, issue escalation and contracting best practices.
  • Ability to work independently while being able to contribute successfully to cross-functional teams.
  • Demonstrated experience to collaborate with colleagues and take a business-oriented approach while identifying and balancing risks and providing succinct, accurate and pragmatic advice.
  • Exceptional analytical skills, independent judgment, a desire to learn, and an ability to take on and prioritize a wide variety of complex matters.
  • Can-do attitude, able to work under pressure, manage tight deadlines and a high volume of contracts.
  • Advanced level of English (written and verbal)
